1. About these terms

This website (test.relaycial.com) and the Relaycial platform are owned and operated by Nestiko Business Solutions Private Limited ("we", "us", "our"). By creating an account, starting a trial, buying a plan or credits, or placing an order on a store hosted on Relaycial, you agree to these Terms & Conditions, our Privacy Policy, our Refund & Cancellation Policy and our Shipping & Delivery Policy.

2. Our services

Relaycial is software-as-a-service for businesses ("merchants"). It lets merchants create online stores and business websites, manage catalogues, orders, customers and staff, and use add-ons such as shipping, messaging (email, SMS, WhatsApp) and marketing tools. We sell:

• Subscription plans — monthly or yearly access to the platform, billed in Indian Rupees (INR).
• Prepaid credits — messaging credits and shipping credits consumed as you use those features.
• Payment collection services for merchant stores, described in section 5.

All services are delivered digitally. Plan features and prices are listed on our pricing page and may change with prior notice; changes never affect a billing period you have already paid for.

3. Accounts and eligibility

You must be at least 18 years old and able to enter a binding contract under Indian law. You are responsible for the accuracy of your account details, for keeping your password secret and for all activity under your account. Merchants must provide correct business and KYC information when asked, including for payment settlements.

4. Subscriptions, renewals and autopay

• Free trials last for the number of days shown at signup. No payment is taken during a free trial unless you choose to buy a plan.
• When you buy a plan with autopay, you authorise us, through our payment partner Razorpay, to charge the plan price at the start of every billing cycle (monthly or yearly) using UPI Autopay, card or e-mandate until you cancel.
• You will receive a payment confirmation for each successful charge. If a renewal payment fails, it is retried; after the grace period your store may be restricted until payment succeeds.
• You can cancel at any time from your account or by writing to us. Cancellation stops future charges; your plan stays active until the end of the period already paid for. See our Refund & Cancellation Policy.
• Prices are in INR and include or exclude GST as shown at checkout.

5. Payments on merchant stores and settlements

Customers buying from a store on Relaycial buy from that merchant. The merchant is the seller and is responsible for the product or service, its description, pricing, taxes, delivery, returns and customer support.

Where a merchant uses our managed payment collection, customer payments are processed by Razorpay, an RBI-authorised payment aggregator. The merchant's share of each payment — the order value minus our platform commission and any applicable fees shown in the merchant's plan or store settings — is transferred to the merchant's verified bank account through Razorpay Route. Settlement timelines follow Razorpay's schedule; where "release on delivery" applies, the merchant share is released after the order is marked delivered. Refunds and chargebacks are recovered from the merchant share of the relevant order.

Merchants who connect their own payment gateway account receive payments directly from that gateway and are bound by that gateway's terms.

6. Merchant responsibilities and prohibited use

Merchants must comply with all applicable Indian laws, including consumer protection, GST and e-commerce rules, and must publish their own return, refund and shipping terms. You may not use Relaycial to sell prohibited or restricted goods (for example drugs, weapons, counterfeit items, gambling, adult content or anything barred by Razorpay's prohibited business list), to mislead customers, or to send spam. We may suspend stores that break these rules or that our payment partners flag for risk.

7. Intellectual property and data

The platform, software and our brand belong to Nestiko Business Solutions Private Limited. Merchants keep ownership of their store content and customer data; you grant us a licence to host and process it only to provide the service. Our handling of personal data is described in the Privacy Policy.

8. Availability and liability

We work to keep the service available but do not guarantee uninterrupted operation. To the maximum extent allowed by law, our total liability for any claim is limited to the fees you paid us in the three months before the claim. We are not liable for indirect or consequential losses, or for products sold by merchants.

9. Suspension and termination

You may stop using the service at any time. We may suspend or terminate accounts for non-payment, fraud, legal violations or breach of these terms, with notice where reasonably possible. On termination you can request an export of your store data within 30 days.

10. Governing law and disputes

These terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts at Jaipur. Please contact us first — most issues are resolved quickly.
